1. Acceptance of the Terms
These Terms of Service (“Terms”) govern your access and use of the Sellerside platform (“Service”), operated by LGC Innovations LLC, a Florida limited liability company (“Sellerside”, “we”, “us”, or “our”).
By creating an account or using the Service, you agree to be bound by these Terms.
If you do not agree, you must not use the Service.
The Service is intended exclusively for Amazon FBA sellers.
2. Description of the Service
Sellerside provides tools to help Amazon FBA sellers manage and optimize their business.
The Service includes, but is not limited to:
2.1 Data Module (P&L & COGS)
- Fetches non-restricted Amazon Selling Partner API (“SP-API”) data related to sales, fees, and financials.
- Calculates or uses user-provided COGS.
- Produces P&L statements.
2.2 Stock Forecast Module
- Forecasts stock levels based on sales velocity, inventory trends, and user-defined parameters.
- Creates replenishment recommendations.
2.3 Order Management Module
- Allows creation and management of purchase orders (PO).
- Centralizes supplier documentation.
- Merges PO information with Amazon shipments created by the seller in Seller Central.
2.4 Access & Exports
- Web dashboard only.
- Exports available in CSV, XLSX, or flat file format.
- No public API provided at this time.
Sellerside does not access or store Amazon buyer Personally Identifiable Information (“PII”) and does not request Restricted Data Tokens.
3. Eligibility
To use the Service, you must:
- Be an Amazon FBA seller with an active Seller Central account.
- Be at least 18 years old.
- Have the authority to bind the business you represent.
4. Amazon SP-API Access & Permissions
4.1 Authorization
To use the Service, you must authorize Sellerside to access your Amazon SP-API data using Amazon’s OAuth process.
4.2 Scopes
Sellerside only requests non-restricted SP-API endpoints, including but not limited to:
- Sales and order summaries (without PII)
- Inventory listings
- Financial and fees reports
- FBA inventory health
No restricted PII endpoints are accessed.
4.3 Revocation
You may revoke SP-API access at any time through Seller Central.
Revoking access may make the Service unusable.
4.4 Compliance
You agree to comply with:
- Amazon Marketplace policies
- Amazon Selling Partner API policies
- Amazon Data Protection Policy
- Amazon Acceptable Use Policy
Sellerside is not affiliated with, endorsed by, or sponsored by Amazon.
5. Account Registration
You must create an account using:
- Name
- Email address
- Password
- Two-factor authentication (2FA)
No KYC documents are required.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
6. Sub-Accounts & Multi-User Access
You may create sub-user accounts within your organization.
Each Sellerside account corresponds to one Amazon Seller ID.
Managing multiple Amazon accounts requires separate Sellerside subscriptions.
7. Data Usage, Ownership & Retention
7.1 Data Ownership
- Your Amazon data remains your property or Amazon’s, as applicable.
- Sellerside only processes data to provide the Service.
7.2 Prohibited Uses
You may not:
- Resell or disclose Sellerside analyses to competing Amazon sellers
- Aggregate other sellers’ data
- Use the Service to compete directly with Sellerside
- Reverse engineer or scrape the Service
7.3 Retention
Non-restricted SP-API data is retained for up to 18 months, in accordance with Amazon policy.
At account termination:
- Access is removed immediately
- Data is deleted within 21 days, unless legally required otherwise
7.4 Data Requests
Upon request, you may obtain:
- An export of your data
- Early deletion
- Account closure
8. Security
Sellerside implements standard industry security measures, including:
- Encryption in transit (TLS 1.2+)
- Encryption at rest (AES-256)
- Access controls and logging
- Restricted internal access
8.1 Shared Responsibility Model
- Sellerside secures its infrastructure and stored data.
- You are responsible for securing your login, devices, employees, and Seller Central access.
9. Data Breach Notification
In the event of a confirmed data breach affecting your data:
- Sellerside will notify you without unreasonable delay
- Provide available information about the incident
- Take corrective measures
- Cooperate to mitigate impact
This clause satisfies SP-API compliance requirements and does not represent a guarantee of uninterrupted security.
10. Payments, Billing & Trials
10.1 Subscription Plans
Sellerside is offered as:
- Monthly subscription
- Annual subscription
10.2 Free Trial
A 30-day free trial is available for new customers.
10.3 Billing
Payments are processed through:
- Stripe
- Credit or debit card
All fees are displayed before purchase.
10.4 Failed Payments
If a payment fails, Sellerside will attempt to collect payment for 14 days.
After 14 days:
- The account may be suspended
- SP-API sync may stop
- Access may be restricted to read-only
10.5 Refunds
All payments are non-refundable, including partial periods if you cancel early.
11. Suspension & Termination
11.1 By You
You may cancel at any time.
Your subscription remains active until the end of the paid period.
11.2 By Sellerside
We may suspend or terminate your account if:
- Payment fails for more than 14 days
- You violate these Terms
- You misuse SP-API access
- You engage in fraudulent or harmful behavior
11.3 After Termination
- Access becomes read-only for 21 days
- Data is deleted within 21 days
- No refunds are provided
12. Intellectual Property
All rights in Sellerside’s software, algorithms, branding, documentation, and content remain the exclusive property of LGC Innovations LLC.
You receive a non-exclusive, non-transferable, revocable license to use the Service.
You may not:
- copy
- distribute
- reverse-engineer
- modify
- build a competing product
13. Disclaimers
The Service is provided “as is”, without warranties, including:
- No guarantee that forecasts are accurate
- No guarantee that Amazon will not change its API
- No guarantee of uninterrupted access
- No liability for Amazon downtime or API errors
You acknowledge that all business decisions remain your sole responsibility.
14. Limitation of Liability
To the maximum extent permitted by law:
- Sellerside’s aggregate liability is limited to the total amount paid by you in the last 12 months.
- Sellerside is not liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data.
Some jurisdictions do not allow certain exclusions; in such cases, Sellerside’s liability is limited to the maximum allowed by law.
15. Indemnification
You agree to indemnify and hold harmless Sellerside and its members, employees, and agents from any claim arising from:
- Your use of the Service
- Your violation of these Terms
- Your breach of Amazon’s policies
- Misuse of SP-API data
16. Modifications to the Terms
Sellerside may update these Terms from time to time.
You will be notified via:
- In-app notification
Changes become effective 30 days after notice.
Your continued use of the Service constitutes acceptance.
17. Dispute Resolution, Governing Law & Class Action Waiver
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
You agree to:
- Mandatory binding arbitration for disputes
- No participation in class actions
- No jury trial
Venue shall be in the State of Florida.
18. Miscellaneous
- These Terms constitute the entire agreement between you and Sellerside.
- If any provision is invalid, the rest remains enforceable.
- You may not assign your rights without prior written consent.
- Sellerside may update, modify, or discontinue the Service at its discretion.
